Welcome to qYouRated. By accessing or using our website, mobile application, or any of our services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). Please read them carefully. If you do not agree, do not use our Services.

qYouRated is operated by NuNiche Media LLC ("qYouRated," "we," "us," or "our"). You can reach us at [email protected].

IMPORTANT: Section 13 contains a binding arbitration agreement and a class action waiver that affects your legal rights. Please read it carefully.

1. Eligibility

You must be at least 18 years old to use qYouRated. By using our Services, you confirm that you meet this requirement and that you have the legal capacity to enter into a binding agreement. If you are using qYouRated on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

You also represent and warrant that: (a) you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country; (b) you are not on any U.S. Government list of prohibited or restricted parties; and (c) you have not been previously removed from our Services for violations of these Terms.

2. Your Account

qYouRated uses Google Sign-In for account authentication. To access certain features of qYouRated, you may need to sign in with a Google account. You are responsible for maintaining the security of the Google account you use to access qYouRated and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you suspect any unauthorized access.

You agree to provide accurate and up-to-date information when creating and maintaining your profile. We reserve the right to suspend or terminate accounts that contain false information or that violate these Terms.

3. Acceptable Use

When using qYouRated, you agree that you will not:

  • Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
  • Post, share, or transmit content that is abusive, defamatory, obscene, harassing, hateful, or otherwise objectionable
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Attempt to gain unauthorized access to any part of the Services, other user accounts, or related systems
  • Use automated tools, bots, or scrapers to access or collect data from qYouRated without our written consent
  • Interfere with or disrupt the integrity or performance of the Services
  • Upload or transmit viruses, malware, or any other harmful code
  • Solicit personal or financial information from other users
  • Use the Services to send unsolicited communications (spam)
  • Engage in any activity that could damage, disable, or impair the Services
  • Use the Services in connection with any commercial solicitation or advertising without our written consent

4. User Content

qYouRated allows you to post, submit, or share content including profile information, comments, messages, and other material ("User Content"). You retain ownership of your User Content, but by submitting it you grant qYouRated a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, display, reproduce, modify, adapt, and distribute your User Content in connection with operating and improving our Services and promoting qYouRated.

You are solely responsible for your User Content. You represent and warrant that your User Content does not violate any third-party rights, including intellectual property rights or privacy rights, and does not contain unlawful material.

We reserve the right to remove any User Content at our sole discretion, with or without notice, for any reason or no reason.

5. Events and Third-Party Content

qYouRated aggregates event information from third-party sources, including Ticketmaster and other providers. We do not organize, manage, or take responsibility for the events listed on our platform. qYouRated does not sell tickets and does not process payments for events. Any ticket purchases or transactions are handled directly by the event organizer or ticketing provider, and are subject to their terms and policies.

We strive to keep event information accurate and up to date, but we do not guarantee the accuracy, completeness, or availability of any event listing. Event details including dates, times, prices, venues, and availability may change without notice. Always verify event details directly with the organizer or ticket provider before making plans or purchases. qYouRated is not liable for any losses, inconvenience, or damages arising from inaccurate event information, canceled or rescheduled events, or your interactions with event organizers, venues, or ticket providers.

6. Interactions With Other Users

qYouRated allows you to connect with and message other users. You are solely responsible for your interactions with other users, whether online or in person. qYouRated does not conduct background checks on users and makes no representations about the identity, character, or safety of any user.

You agree to take reasonable precautions in all communications and interactions with other users, especially when meeting in person. qYouRated is not liable for any losses, injuries, or damages arising from your interactions with other users.

7. Third-Party Services and Infrastructure

qYouRated is built on top of third-party infrastructure and services, including but not limited to hosting providers, database providers, authentication providers, image storage providers, event data providers, email delivery providers, and analytics tools. Our Privacy Policy describes the categories of third-party providers we rely on in more detail.

While we choose reputable providers and take reasonable steps to secure your data, qYouRated does not control these third parties and cannot guarantee their uptime, security, or data practices. You acknowledge and agree that to the fullest extent permitted by applicable law, qYouRated and NuNiche Media LLC are not liable for any losses, damages, data loss, security incidents, service outages, or other issues caused by or originating from third-party infrastructure, service providers, or data sources.

8. Intellectual Property

All content on qYouRated that is not User Content — including our logo, name, design, text, graphics, software, and other materials — is owned by or licensed to NuNiche Media LLC and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our content without our prior written consent.

9. Privacy

Your use of qYouRated is also governed by our Privacy Policy, which describes how we collect, use, and share your personal information. By using our Services, you agree to our Privacy Policy.

10. Disclaimer of Warranties

qYouRated IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OBTAINED THROUGH THE SERVICES, INCLUDING EVENT LISTINGS AND USER-GENERATED CONTENT.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NUNICHE MEDIA LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION APPLIES WHETHER THE CLAIM IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

WITHOUT LIMITING THE FOREGOING, WE ARE NOT LIABLE FOR ANY DAMAGES ARISING FROM: (A) EVENTS THAT ARE CANCELED, RESCHEDULED, OR DIFFERENT FROM HOW THEY WERE DESCRIBED ON qYouRated; (B) YOUR INTERACTIONS WITH OTHER USERS OR THIRD PARTIES, WHETHER ONLINE OR IN PERSON; (C) ANY SECURITY INCIDENT, DATA BREACH, SERVICE OUTAGE, OR DATA LOSS OCCURRING AT OR CAUSED BY ANY THIRD-PARTY SERVICE PROVIDER WE RELY ON; AND (D) YOUR USE OF OR INABILITY TO USE THE SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING UNDER THESE TERMS OR YOUR USE OF THE SERVICES WILL NOT EXCEED THE GREATER OF (I) ONE HUNDRED U.S. DOLLARS ($100) OR (II) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, our liability is limited to the fullest extent permitted by applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless qYouRated, NuNiche Media LLC, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with (a) your use of the Services, (b) your User Content, (c) your interactions with other users, (d) your violation of these Terms, or (e) your violation of any rights of any third party.

13. Dispute Resolution; Binding Arbitration; Class Action Waiver

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

Informal Resolution

Before filing any formal claim against qYouRated, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 60 days. We will attempt to resolve the dispute informally by contacting you via email.

Binding Arbitration

If we cannot resolve a dispute informally, you and qYouRated agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. Arbitration will be conducted by the American Arbitration Association (AAA) under its applicable rules. The arbitration will take place in Los Angeles County, California, unless you and qYouRated agree otherwise. The arbitrator's decision will be final and binding.

Class Action Waiver

YOU AND qYouRated AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of representative or class proceeding.

Jury Trial Waiver

YOU AND qYouRated WAIVE ANY RIGHT TO A JURY TRIAL WHERE PERMITTED BY LAW.

30-Day Right to Opt Out

You have the right to opt out of the arbitration agreement and class action waiver by sending written notice of your decision to opt out to [email protected] within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you want to opt out. If you opt out, you will retain the right to bring claims in court but remain bound by the rest of these Terms.

14. Termination

We reserve the right to suspend or terminate your account and access to the Services at any time, with or without notice, if we believe you have violated these Terms or for any other reason at our sole discretion. You may also delete your account at any time through your account settings. Upon termination, these Terms will continue to apply to the extent necessary to enforce our rights.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the updated version on this page with a revised effective date. Your continued use of qYouRated after any changes constitutes your acceptance of the updated Terms. Material changes to Section 11 (Limitation of Liability) or Section 13 (Dispute Resolution) will require your affirmative acceptance where required by law. If you do not agree with a change, you must stop using our Services.

16. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Subject to the arbitration provisions in Section 13, any disputes arising under these Terms will be resolved in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.

17. Miscellaneous

These Terms constitute the entire agreement between you and qYouRated regarding your use of the Services. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may freely assign these Terms.
